Complete Guide

Choose the right structure

Sole trading and incorporating a company are different legal choices, especially for liability, reporting and tax. Compare the implications before reserving a company name.

Registering through the Companies Office

For a company, check name availability, director eligibility, required addresses and incorporation submissions using official Companies Office guidance. A sole trader usually follows a simpler path.

NZBN and tax registrations

An NZBN identifies a business but is not a licence. GST registration is based on Inland Revenue criteria, and the business structure determines which IRD accounts and returns matter.

Local permits matter

National registration does not replace council rules or specialised permissions. Food handling, public-facing premises, trade qualifications or industry restrictions should be verified separately.

Finance and customer readiness

Budget for working capital, realistic operating costs and accurate payment records. Clear terms and appropriate privacy handling help reduce disputes before a business grows.

After the first sale

Keep a calendar for tax obligations, company annual returns where applicable, levies and licence renewals. Recheck rules when directors, staff, premises or activities change.

Frequently asked questions

Must every New Zealand business incorporate a company?

No. Sole traders have a different legal structure and do not need to incorporate a company simply to start trading; other obligations still apply.

Does every new business need GST registration?

Not automatically. IRD generally requires registration at NZD 60,000 taxable turnover in a 12-month period, or if you add GST to prices. Check current rules.

Is having an NZBN the same as having a licence?

No. An NZBN identifies a business. Council permissions and regulated-activity licences may still be required.
